Terms of engagement

These terms govern professional services provided by Network Optimization (“we”, “us”) from our office at No.62-1,Lane124,Chiaochung1stSt.TaipeiHsienPanchiao, Taiwan, to clients who enquire through network-optimization.digital or by direct contact.
Acceptance
By confirming an engagement in writing (email acceptance of a scoped proposal is sufficient), you agree to these terms and to any engagement letter that accompanies the proposal. If an engagement letter conflicts with these terms, the engagement letter prevails for that assignment.
Services
We provide month-end close audits, reconciliation deep-dives, close-week coaching, and related financial review work as described on this site and in your proposal. Our work is an independent review of evidence prepared by your team. It is not a statutory audit opinion, tax advice, or a guarantee that all misstatements will be detected.
Client responsibilities
You remain responsible for your books, journals, and closing package. You agree to provide timely access to schedules, source documents, and knowledgeable staff, and to decide which findings to adjust.
Fees and payment
Fees are stated in the proposal, typically with a 30% deposit on confirmation and the balance on delivery of the issues log and briefing. Late payment may pause further fieldwork. Informational pricing on this site does not constitute an offer until scoped.
Intellectual property
Working papers we create remain our property. You receive a licence to use the issues log, briefing materials, and playbooks for your internal finance operations. You may not resell or republish our materials without written consent. Your ledgers and source documents remain yours.
Confidentiality
We treat your financial information as confidential and use it only to perform the engagement, except where disclosure is required by law or professional regulation.
Liability
To the extent permitted under the laws of Taiwan, our aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost financing opportunities, except where liability cannot be limited by law.
Governing law
These terms are governed by the laws of Taiwan. Courts in Taiwan have exclusive jurisdiction over disputes arising from these terms or related engagements, without prejudice to mandatory consumer protections that may apply.
